Capital One registers additional 39,843 shares from Brex acquisition for resale

Capital One Financial filed a prospectus supplement to register additional shares obtained through its January 2026 acquisition of Brex Inc. The registration enables selling security holders to offer up to 39,843 shares of Capital One common stock in connection with the merger consideration.
