Empery Digital amends ATM offering agreement with Aegis Capital Corp

Empery Digital Inc. executed Amendment No. 2 and Waiver to its At-The-Market Issuance Sales Agreement with Aegis Capital Corp., removing a termination provision from Section 13(d) dated June 2, 2026. The amendment allows the company to continue its equity offering program without the previous automatic termination clause.
