Enviri to receive $15.00 per share from Clean Earth sale, spin-off completion June 1

Enviri Corporation will complete the sale of Clean Earth to Veolia and spin off Harsco Environmental and Rail as New Enviri Corporation on June 1, 2026, with stockholders receiving $15.00 per share in cash and one New Enviri share per three existing shares. The transaction was approved by shareholders on May 4, 2026, and New Enviri will begin trading on NYSE under ticker NVRI.
