OPTT enters exchange agreement with note holder

Ocean Power Technologies and a Series C-1 note holder agreed to exchange outstanding Senior Convertible Notes for new Series D Senior Convertible Notes. The transaction utilizes a Section 3(a)(9) exemption from registration and may be applied to other outstanding notes held by other investors.
